WIE HOUDT ER TOEZICHT OP DE RAAD VAN TOEZICHT?
Vorig jaar behaalden de UvA-studenten en staf enkele belangrijke overwinningen: we dwongen het ontslag van de voorzitter van het CvB af en we vestigden drie commissies voor financiën, democratisering en diversiteit. Deze triomf blijkt nu echter te groot te zijn geweest voor de hoeders van de status quo -de professionele managers en het schemerige netwerk van zakenlui en de politici waaraan zij beantwoorden. Sinds de vorige lente hebben deze bestuurders hard gewerkt achter gesloten deuren en geprobeerd de democratische vernieuwing aan de UvA te dwarsbomen: ze probeerden de commissies te doen ontsporen en negeerden de roep van de gemeenschap om de nominatieprocedure voor nieuwe CvB-leden opener te maken.
Desondanks bleef de narrige incompetentie van onze oligarchische ‘leiders’ zich voordoen: er volgde een tweede CvB-ontslag, Atzo Nicolaï ging zijn boekje als RvT-voorzitter te buiten, en de CvB-wervingsprocedure werd geschaad door verwarring en lekken, ondanks de dure uitbesteding aan corporate headhunter Egon Zehnder. Als gevolg hiervan zal het nieuwe CvB geteisterd worden door de intransparantie van de procedure: zonder een voorafgaande uitwisseling met de academische gemeenschap zal de steun van studenten en personeel flinterdun blijven. De RvT en de hoogste managers verschuilen ZCH achter de façade van democratische verantwoording, maar ze zijn een zelf-referentieel en zelf-bedienende elite die zich niet bekommeren om de behoeftes van de academische gemeenschap.
Binnen de RvT en het CvB is volop sprake van draaideurpolitiek. Zo is Atzo Nicolaï directeur bij DSM en zit hij in het bestuur van werkgeversorganisatie VNO-NCW. Met andere woorden: hij komt uit het bedrijfsleven, is lobbyist voor het bedrijfsleven, en moet toezicht houden op beleid dat hij zelf mede heeft bepaald. En hier is nog een voorbeeld van uw draaideurpolitiek. Louise Gunning was voorzitter van de Raad van Commissarissen bij DSM, vervolgens werd Nicolaï daar directeur. Gunning werd voorzitter van het CvB op de UvA, en Nicolaï werd op zijn beurt weer voorzitter van de RvT aldaar: wat een feest van herkenning!
Het old boys network bekommert zich niet om het onderscheid tussen de publiek sector dat democratisch van karakter is en de private sector dat gekenmerkt wordt door een nauw winstoogmerk. Nicolaï werd gerekruteerd door de exorbitant dure headhunter Egon Zehnder, die hij op zijn beurt weer heeft ingeschakeld om op zoek te gaan naar nieuwe leden voor het CvB dat afgelopen jaar een flinke aderlating onderging. Dan is er nog Marleen Barth. Zij is op dit moment naast haar lidmaatschap voor de RvT ook voorzitter van de PvdA-fractie in de Eerste Kamer. Ze heeft daarmee duidelijke een gedeeld politiek belang met minister Bussemaker en oud-collegelid Louise Gunning (beide PvdA-ers).
Verder is er Rinse de Jong die bestuurder is van de Koninklijke BAM Groep, een internationale bouwgroep voor woning- en utiliteitsbouw. Toevalligerwijs is BAM ook de uitvoerder die de opdracht heeft gekregen om de nieuwe campussen van de UvA te bouwen. En zo zijn er nog talloze voorbeelden. Ons laatste voorbeeld is Lidwin van Velden, niet alleen is zij lid van de Raad van Toezicht, maar ze bekleedt ook een positie in een ministeriele commissies die verantwoordelijk is voor het controleren van de jaarrekening van OCW.
De andere functies die de leden van de Raad van Toezicht bekleden raken zeer nauw aan de letter van de wet, maar zijn duidelijk in strijd met de geest van de wet: “De samenstelling, taken en bevoegdheden van de raad van toezicht zijn zodanig dat de raad een deugdelijk en onafhankelijk toezicht kan uitoefenen. De leden van de raad van toezicht hebben geen directe belangen bij de universiteit. De leden van de raad zijn niet tevens werkzaam bij een ministerie dan wel lid van de Eerste of Tweede Kamer der Staten-Generaal.” (Wet op het hoger onderwijs en wetenschappelijk onderzoek Artikel 9,7, lid 4)
De universitaire gemeenschap is het zat, net zoals de honderdduizenden mensen die afgelopen week demonstreerden in Brussel en Parijs en daar publieke ruimtes bezetten. Het afgelopen jaar ontruimden de managers ons gewelddadig uit het Maagdenhuis nadat we overeen kwamen het gebouw de volgende dag vreedzaam te verlaten. Nochtans bleven we geloven in het hervormingsproces dat we afspraken met de managers. Nu raakt ons geduld op. De manier waarop de RvT de benoeming van het CvB heeft afgehandeld is symptomatisch voor hun ziekelijke passie voor de status quo: deze oligarchen hebben ons vertrouwen ernstig geschaad en proberen nu onbekommerd terug te keren naar de alledaagse gang van zaken. Dit kunnen wij niet laten gebeuren. Desondanks is het niet ons doel om te moraliseren over de Raad van Toezicht. Dit is een politieke kwestie. Dus hier is een laatste zoenoffer: we hebben de voorzitter van de Raad van Toezicht, Atzo Nicolai, aangeschreven met de vraag of hij en zijn collega’s zo vriendelijk willen zijn ons voor te stellen aan de nieuwe CvB-leden tijdens een publieke bijeenkomst op het Spui om 16.30 op 11 april. Wij wachten met enthousiasme op hun komst.

WHO SUPERVISES THE SUPERVISORY BOARD?
Last year the UvA’s students and faculty won big: we forced the resignation of the President of the Executive Board (CvB), and we established the three committees on finance, democratisation and diversity. Now it seems this victory was too big for the guardians of the status quo–the professional managers and the murky network of businesspeople and politicos they answer to. Since last spring these people have been working behind closed doors to scupper the democratic renewal of the UvA: they tried to derail the committees, and ignored the community’s calls to significantly open up the nomination procedure for new CvB members.
Still, the fractious incompetence of our oligarchic ‘leaders’ surfaced again: another CvB resignation, increasing overreach by Supervisory Board (RvT) President Atzo Nicolaï, and a CvB recruitment procedure marred by confusion and leaks despite its costly subcontracting to corporate headhunters Egon Zehnder. As a result the new CvB will be tainted by the procedure’s intransparency: without a prior interaction with the academic community support by students and staff will be thin at best. The RvT and the top managers hide behind the fig leaf of democratic accountability, but they are a self-referential and self-serving elite with no concern for the needs of academia. For instance,
For example, Atzo Nicolai is the chair at DSM and is also on the board of the corporate advocacy group VNO-NCW. In other words, his background is in business, he is a lobbyist for business and at the same time supervises policy that he helped create himself. And here is another example of the Supervisory Board’s revolving door politics. Louise Gunning was the chairwoman of the Board of Directors of Dutch multinational DSM. Surprisingly, the next director of DSM was Atzo Nicolai. Gunning became the chair of the Executive Board of the UvA and lo and behold the chair of the UvA’s Supervisory Board’s chair is Atzo Nicolai. What a coincidence!
The old boys network is willfully blind to the differences between private profiteering and democratically accountable public institutions: Nicolai was recruited through the exorbitantly pricy corporate headhunting firm Egon Zehnder, whom he promptly landed the lucrative contract for recruiting new members for the Executive Board which can’t seem to stop haemorrhaging members. Next up, Marleen Barth. Apart from her position on the Supervisory Board, she also chairs the Dutch Labour Party (PvdA) in the Dutch Senate (1e Kamer). She clearly has strong shared political interests with Minister of Education Jet Bussemaker and former UvA president Louise Gunning (both Labour Party notables).
And then there is Rinse de Jong who is an executive at the Royal Dutch BAM Group, a major European construction-services business. It just so happens BAM is also the contractor hired to build the new campuses for the University of Amsterdam. And there are many more examples like this one. Our final offering is Lidwin van Velden who is a member of the Supervisory Board but was also on a committee responsible for developing policy and supervising the annual accounts for the Ministry of Education.
The ancillary functions of the other Supervisory Board members barely operate within the letter of the law and most certainly not within the spirit of it: “The composition, tasks and prerogatives of the Supervisory Board are such that the board can exert influence independently and judiciously. The members of the Supervisory Board have no direct interests in the university. The members of the Board must not concurrently be employed by a Ministry nor be members of either House of Parliament.” (Law on Higher Education and Scientific Research article 9.7, paragraph 4)
The university community is tired of this–just like the millions of people currently marching and occupying public spaces in Paris, Brussels, and beyond. Last year the managers violently evicted us from the Maagdenhuis after we’d agreed to leave peacefully the next day. Still we placed our faith in the reform process we’d agreed with the managers. Now our patience is running out. The RvT’s handling of the CvB nomination is just a symptom of a status quo disease: these oligarchs abused our trust and are now trying to get back to business as usual. We cannot allow that. Still, we are not interested in just moralising about the Supervisory Board. This is politics. So here is one last peace offering: we have written to Supervisory Board chairman Atzo Nikolai to invite him and his fellow board members to introduce the new Executive Board members to the university community in a public meeting at 16.30 on Spui Square on April 11th. We await them eagerly.
